Terms of Service

TL;DR

Use our service responsibly. Don't abuse it, don't try to hack it, and don't use it for anything illegal. We provide the service "as is" and reserve the right to modify or terminate accounts that violate these terms.

1-3. Acceptance, Definitions & Account

By accessing or using WhoPrompt ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or other legal entity ("Customer"), you represent that you have the authority to bind that entity to these Terms.

Definitions & Account

"Customer" refers to the business entity subscribing to the Service.
"Authorized Users" are employees or contractors authorized by Customer to use the Service.
You are responsible for all activity by your Authorized Users.
Keep your account credentials secure and confidential.

4-5. License & Acceptable Use

License Grant

Subject to these Terms, we grant Customer a non-exclusive, non-transferable right to use the Service for its internal business purposes.

You May:

Connect your own business databases
Use the service for internal business analytics
Export query results for business use

You Must NOT:

• Attempt to hack, reverse engineer, or exploit the service
• Share your account credentials with others
• Use the service for illegal activities
• Attempt to access other users' data or databases
• Abuse the API or exceed rate limits intentionally
• Use the service to harm, harass, or violate others' rights
• Resell or redistribute the service without permission

6. Fees and Payment

Subscription Fees

• Fees are specified in the applicable Order Form or Service Plan
• Billed in advance on a monthly or annual basis
• Non-refundable except as required by law
• Auto-renewal at the end of each term

Taxes & Late Payments

• Fees are exclusive of all taxes and levies
• Customer is responsible for any applicable taxes
• Late payments may accrue interest at 1.5% per month
• We may suspend service for non-payment

You may cancel your subscription at any time. The cancellation will take effect at the end of the current billing cycle.

7. Intellectual Property & Confidentiality

Our IP

The Service, including software, algorithms, and UI/UX, is owned by WhoPrompt. You receive a limited license to use it solely for the duration of your subscription.

Customer Data

Customer retains all rights to its database data and query results ("Customer Data"). We claim no ownership. You grant us a limited license to access databases on your behalf and use anonymized query patterns to improve our AI models.

Confidentiality

Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own, but in no event less than reasonable care. "Confidential Information" includes Customer Data and our non-public technical or business information.

8-9. Service Availability & Disclaimers

No Warranty: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We don't guarantee:

• The accuracy of AI-generated SQL queries
• Completeness or correctness of query results
• Uninterrupted or error-free service
• That the service will meet your specific requirements

Limitation of Liability:

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, or consequential damages. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by Customer to us in the 12 months preceding the claim.

10-11. Indemnification & Termination

You agree to indemnify us from claims arising from your use of the Service or violation of these Terms.

We may suspend or terminate your account if:

You violate these Terms
Your account is used for fraudulent activity
You fail to pay applicable fees
We're required to do so by law

12. Privacy

Your use is governed by our Privacy Policy.

13. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email.

14. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware.

15. Dispute Resolution

Disputes shall be resolved through binding arbitration in accordance with AAA rules.

16. Severability

If any provision is unenforceable, remaining provisions stay in effect.

17. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement.
